Terms and Conditions

UsKind Ltd - Terms & Conditions

These Terms and Conditions (“Terms”) set out the basis on which UsKind Ltd (“UsKind”, “we”, “our”, “us”) provides consultancy and training services in relation to accessibility and inclusion to our clients (“Client”, “you”, “your”).

By engaging UsKind Ltd, you agree to be bound by these Terms.

1. Services

1.1 UsKind provides consultancy, training, and advisory services in accessibility and inclusion, specifically tailored to the hospitality sector.
1.2 All services will be described in a written proposal, quotation, or contract agreed between UsKind and the Client.
1.3 While UsKind will use reasonable skill, care, and expertise, the Client acknowledges that:

  • Our advice is advisory in nature and does not constitute legal or regulatory compliance.

  • Implementation of recommendations remains the sole responsibility of the Client.

2. Client Responsibilities

2.1 The Client shall provide all necessary information, access, cooperation, and support to enable UsKind to perform the services effectively.
2.2 The Client remains responsible for:

  • Ensuring its business complies with all relevant legislation (including but not limited to the Equality Act 2010 and related accessibility standards).

  • Implementing and maintaining any changes or recommendations provided by UsKind.

2.3 The Client must ensure that employees participating in training sessions attend as scheduled and conduct themselves appropriately.

3. Fees, Payment, and Expenses

3.1 Fees for services will be set out in writing prior to commencement.
3.2 Payment terms are strictly 14 days from the date of invoice unless otherwise agreed in writing.
3.3 UsKind reserves the right to suspend services where invoices remain unpaid.
3.4 Reasonable expenses (including travel and accommodation) incurred in delivering the services will be charged to the Client, provided they are agreed in advance.

3.5 Late Payments may result in an interest fee of 5% per calendar month to be applied at our discretion.

4. Cancellations and Rescheduling

4.1 Training sessions cancelled or rescheduled by the Client with less than 30 days’ notice will be charged at 50% of the agreed fee.
4.2 Training sessions cancelled or rescheduled with less than 14 days’ notice will be charged at 100% of the agreed fee.

4.3 Any travel expenses already incurred before the date of cancellation will also be chargeable.
4.3 Consultancy projects cancelled after commencement may be subject to charges for work completed to date and any non-recoverable expenses.

5. Intellectual Property

5.1 All training materials, reports, documentation, and content provided by UsKind remain the intellectual property of UsKind unless expressly agreed otherwise in writing.
5.2 The Client may use materials provided solely for internal business purposes and must not reproduce, distribute, or share them with third parties without UsKind’s prior written consent.

6. Confidentiality

6.1 Both parties agree to keep confidential all information that is not publicly available and is disclosed during the provision of services.
6.2 This obligation shall not apply where disclosure is required by law.

7. Limitation of Liability

7.1 UsKind will deliver its services with reasonable skill and care.
7.2 To the fullest extent permitted by law:

  • UsKind shall not be liable for any indirect, incidental, or consequential loss (including loss of profits, goodwill, or reputation).

  • UsKind’s total liability to the Client, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client for the relevant services.

7.3 Nothing in these Terms excludes liability for death or personal injury caused by negligence, or for fraud.

8. Data Protection

8.1 UsKind will process any personal data in accordance with applicable data protection legislation (including the UK GDPR).
8.2 Each party shall comply with its obligations as a data controller or data processor (as applicable).

9. Termination

9.1 Either party may terminate the agreement with 30 days’ written notice.
9.2 UsKind may terminate immediately if:

  • The Client fails to pay invoices when due.

  • The Client materially breaches these Terms.

10. General

10.1 These Terms, together with any written proposal or contract, constitute the entire agreement between UsKind and the Client.
10.2 No variation shall be effective unless agreed in writing.
10.3 If any provision of these Terms is held unenforceable, the remaining provisions shall continue in full force and effect.
